3. SMS & Messaging Terms

Users must opt in to receive messages.
All opt-in data and consent must be verifiable.
You must include opt-out language (e.g., “Reply STOP to unsubscribe”) in all marketing messages.
Message frequency must match the disclosures at opt-in.
“Message and data rates may apply” must be disclosed.

We do not guarantee message delivery. Carriers are not liable for delayed or undelivered messages.

4. Client Responsibilities

Provide accurate and lawful information.
Secure all necessary consents and legal approvals.
Use our services ethically and in accordance with industry standards.

5. Payment Terms

All payments for services are due as agreed upon in your proposal or invoice. Late payments may incur additional fees. We reserve the right to suspend services in the event of nonpayment.

6. Intellectual Property

All materials created by Eduardo Bryant designs, strategies, campaigns, and content—remain the intellectual property of Eduardo Bryant until full payment is received. Upon full payment, ownership of custom-created assets may transfer as explicitly agreed in writing.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement, unless disclosure is required by law or permitted in writing by both parties.

8. Limitation of Liability

We provide our services “as is” and disclaim all warranties. Eduardo Bryant is not liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use our Services.

9. Termination

We may terminate or suspend services at any time if you violate these Terms. Upon termination, you must stop using any materials we’ve provided and return or delete any confidential information.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Clifornia, without regard to its conflict of law principles.

11. Changes to These Terms

We may revise these Terms at any time. Updated Terms will be posted on our website and become effective immediately upon posting.
